Terms of Service

1. Acceptance of Terms
By accessing or using the Fluidgenius platform ("Platform"), including any websites, applications,
APIs, and services operated by Fluidgenius, LLC ("Company," "we," "us," or "our"), you agree to be
bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you may not access or use the Platform. Your continued use of the
Platform constitutes your acceptance of any updates to these Terms.
Important: These Terms constitute a legally binding agreement between you and
Fluidgenius, LLC. Please read them carefully before using the Platform.
2. Definitions
- "Platform" — The Fluidgenius digital publishing platform, including all
websites (e.g., blaizemagazine.com, newsstand.fluidgenius.com), mobile-responsive interfaces,
and related services.
- "Publisher" — An organization or individual that creates, uploads, and manages
digital publications on the Platform.
- "Reader" — Any user who accesses, views, or subscribes to publications on the
Platform.
- "Content" — Any text, images, videos, audio, interactive elements, or other
materials uploaded to or created on the Platform.
- "Subscription" — A paid recurring plan that grants a Reader access to a
Publisher's content.
3. User Accounts
3.1 Account Creation
You may create an account using Google Sign-In or email/password. You must provide accurate
information and keep your credentials secure. You are responsible for all activity under your
account.
3.2 Account Eligibility
You must be at least 13 years of age to use the Platform. If you are under 18, you must have parental
or legal guardian consent.
3.3 Account Security
You are responsible for maintaining the security of your account. Notify us immediately at support@fluidgenius.com if you suspect unauthorized
access.
4. Publisher Terms
4.1 Organization Registration
Publishers register by submitting an organization application. We review applications and may
approve, request modifications, or decline at our sole discretion.
4.2 Content Responsibility
Publishers are solely responsible for the Content they upload. Content must not violate applicable
laws, infringe third-party intellectual property, or contain prohibited material (see Section 8).
4.3 Revenue Sharing
Publishers who monetize their publications through subscriptions are subject to the revenue sharing
terms established during their onboarding, including applicable platform fees and payment processing
costs.
4.4 Content Moderation
We reserve the right to review, flag, or remove Content that violates these Terms. We may use
automated tools, including AI-based moderation, to detect prohibited Content.
5. Reader Terms
5.1 Access to Free Content
Free publications are available to all Readers without a subscription. Some free content may require
account registration.
5.2 Access to Paid Content
Paid content requires an active subscription to the respective Publisher's plan. Subscription access
is governed by Section 6.
5.3 Private Publications
Some publications may be restricted to specific email addresses or domains. Access to private
publications is managed by the Publisher and subject to their access policies.
6. Subscriptions & Billing
6.1 Subscription Plans
Publishers set their own pricing, which may include monthly and/or annual plans. Prices are displayed
on the Publisher's newsstand and subscription page.
6.2 Payment Processing
All payments are processed by Stripe, Inc. By subscribing, you also agree to Stripe's Terms of
Service.
6.3 Recurring Billing
Subscriptions renew automatically at the end of each billing period. You will be charged the
then-current price unless you cancel before the renewal date.
6.4 Cancellation
You may cancel your subscription at any time through the Stripe Customer Portal or by contacting
support. Cancellation takes effect at the end of the current billing period — you retain access
until then.
6.5 Refunds
Refunds are handled on a case-by-case basis. Contact support@fluidgenius.com within 14 days of a charge for
refund consideration.
7. Content & Intellectual Property
7.1 Publisher Content Ownership
Publishers retain ownership of their Content. By uploading Content to the Platform, you grant
Fluidgenius a non-exclusive, worldwide, royalty-free license to host, display, distribute, and
promote your Content on the Platform.
7.2 Platform IP
The Platform, including its design, code, features, and branding, is the intellectual property of
Fluidgenius, LLC. You may not copy, modify, or reverse-engineer any part of the Platform.
7.3 DMCA Policy
We respect intellectual property rights. If you believe Content on the Platform infringes your
copyright, submit a DMCA takedown notice to dmca@fluidgenius.com with:
- Identification of the copyrighted work
- Identification of the infringing material and its location on the Platform
- Your contact information
- A statement of good-faith belief and accuracy under penalty of perjury
- Your physical or electronic signature
8. Prohibited Use
You agree not to:
- Upload Content that is illegal, defamatory, obscene, or harmful to minors
- Infringe the intellectual property rights of others
- Distribute malware, spam, or deceptive content
- Attempt to gain unauthorized access to the Platform or other users' accounts
- Use automated tools (bots, scrapers) to access or extract data from the Platform without written
permission
- Circumvent access controls, paywalls, or content restrictions
- Resell, redistribute, or commercially exploit Platform content without authorization
- Harass, bully, or threaten other users
9. Termination
We may suspend or terminate your account at any time if you violate these Terms or for any other
reason at our sole discretion. Upon termination:
- Your access to the Platform will be revoked
- Active subscriptions will be cancelled (prorated refunds may apply)
- Publisher Content may be removed after a 30-day grace period
- You remain responsible for any outstanding payments
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, error-free, or secure. We are not
responsible for the accuracy, quality, or legality of Publisher Content.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLUIDGENIUS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR
GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.
Our total aggregate liability shall not exceed the greater of (a) the amount you paid us in the 12
months preceding the claim, or (b) $100 USD.
12. Indemnification
You agree to indemnify and hold harmless Fluidgenius, LLC, its officers, directors, employees, and
agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from
your use of the Platform, your Content, or your violation of these Terms.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Georgia, United States, without regard to
conflict-of-law principles.
Any disputes arising from these Terms or the Platform shall be resolved through binding arbitration
in Atlanta, Georgia, in accordance with the rules of the American Arbitration Association. You waive
any right to participate in class-action lawsuits or class-wide arbitration.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a
notice on the Platform or sending an email to your registered address. Your continued use of the
Platform after changes are posted constitutes acceptance of the updated Terms.
